NDAs - Clickwrap

Learn how to enable a Clickwrap NDA to automate your NDA process

Overview

SafeBase's Clickwrap NDA is a built-in click-through NDA that streamlines the legal workflow, specifically addressing the need for Trust Center visitors to sign a legally binding agreement before accessing confidential content.

Configuration

Setting the Clickwrap NDA as the default NDA option allows organizations to utilize SafeBase's built-in click-through NDA.

The language can be customized to match an existing NDA and supports Markdown styling to match your current NDA's formatting.

To access Clickwrap settings, navigate to the Accounts & NDAs section of the Settings page, and click the Set up Clickwrap NDA button.


Clickwrap Options

Clickwrap offers two configuration options:

Autogenerated Clickwrap NDA

The autogenerated Clickwrap NDA option provides a streamlined setup experience:

  • SafeBase automatically generates the Clickwrap NDA, using a template that has been vetted by our legal team

  • Organization name and Trust Center title values automatically update as they are changed in the app

  • Preview the NDA directly within SafeBase, with no downloads or uploads required

SafeBase provides a free NDA Template that our legal team has vetted, specifically catered to use in the Trust Center NDA workflow. This template is used as the basis for the autogenerated Clickwrap option.

Custom Clickwrap NDA

The custom Clickwrap NDA option allows for complete control over NDA language:

  • Paste in an organizations own custom NDA text

  • Customize legal language to match an organization's existing agreements

  • Supports styling with Markdown to match the formatting of a current NDA

Note: Custom NDAs will not automatically update when organization name and Trust Center title values are changed in the app

Setting Default NDA

Once the Clickwrap NDA has been configured, users have the option of setting the Clickwrap NDA as the Trust Center's default NDA option. Users can still override the default option when manually approving an access request, or if the a Salesforce integration is enabled, through Salesforce automations.

The default NDA option can be configured in the NDA settings area.


Signed Clickwrap NDA Copies

A copy of each signed NDA can be downloaded directly within SafeBase under the associated account. Optionally, a copy of each signed NDA can also be automatically sent to one or more email addresses.

Downloading Signed NDAs

To download a signed NDA:

  • Click the Accounts tab on the left side panel

  • Click into the Account Name

  • Click the Download NDA button under Account details

Emailing Signed NDAs

To enable this feature:

  • In the NDA settings, click the "Set Up Clickwrap NDA" button, or the gear icon if the Clickwrap NDA has already been set up

  • Enable the "Send signed NDA copies to specific email address(es)" toggle

  • Enter a valid email address (or multiple email addresses separated by commas)

  • Click Save

All future Clickwrap NDAs will be sent as bcc copies to the specified email address(es).


NDA Status Management

NDA connections appear in both the Integrations and NDA sections of the settings.

Toggle NDA Options

NDAs can be toggled on/off to control whether they're used in an access request flow.

Status Indicators

NDA statuses include visual indicators to help users manage NDA configurations:

  • Connected - not enabled as an option: The NDA is connected but not enabled for use in access requests

  • Connected - not set as default: The NDA is enabled but not set as the default option

  • Connected - Using as default: The NDA is set as the default option for access requests

These status indicators help identify the current NDA configuration.

From the NDA section, users can also enable "Clickwrap" as an NDA provider option to route access requests through the Clickwrap flow.


Salesforce Integration

Salesforce NDA Bypass

The Salesforce NDA Bypass feature lets users select fields directly from Salesforce to automatically bypass the NDA for certain Trust Center access requests.

These settings can be configured from the NDA section of your Settings page.
